Terms of Service

These Terms of Service ("Terms") govern your access to and use of Listonaut (the "Service"), operated by [Operator legal name / business entity] ("Listonaut", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Listonaut does

Listonaut is an AI-powered tool that generates text for Etsy product listings — titles, tags, descriptions, and suggested pricing — from product photos or descriptions you provide. Listonaut generates text only; it does not create, edit, or generate product images. Photos you upload are used solely as input to understand your product.

2. Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for your account credentials and all activity under your account.
• You must provide accurate information and keep it current.
• You may not share, resell, or transfer your account without our consent.

3. Plans, credits & billing

The Service is offered on a free tier and paid subscription plans (Starter, Pro, Business). Paid plans are billed in advance on a monthly or yearly basis through our payment processor, Stripe. By subscribing you authorize recurring charges until you cancel.

• Credits. Actions in the Service (such as generating or regenerating listings) consume credits. Each plan includes a monthly credit allotment. Free-plan credits do not roll over. Paid-plan unused monthly credits roll over for one (1) month only, after which they expire.
• Credit packs. Paid users may purchase one-time credit packs. Purchased credits expire twelve (12) months after purchase.
• Spend order. Credits are consumed in the order: monthly allotment, then rollover, then purchased credits.
• Renewals & price changes. Subscriptions renew automatically. We may change prices with notice; changes apply to the next billing cycle.
• Cancellation. You may cancel anytime via the billing portal. Your plan remains active until the end of the current paid period; we do not provide prorated refunds for partial periods.
• Refunds. Except where required by law, payments and purchased credits are non-refundable. Credits have no cash value and cannot be exchanged for money.
• Non-payment. If a payment fails, paid features may be suspended until the balance is resolved.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful, infringing, or deceptive purpose;
• Generate content that is illegal, that infringes others' intellectual property, or that violates Etsy's policies;
• Attempt to bypass credit limits, plan gating, or security controls;
• Reverse engineer, scrape, or overload the Service, or use it to build a competing product;
• Upload malware or content you do not have the rights to use.

5. Your content

You retain ownership of the product photos and descriptions you submit ("Your Content"). You grant us a limited license to process Your Content solely to provide the Service (including sending it to our AI provider to generate listings). To the extent permitted by law, you own the listing text Listonaut generates for you and may use it freely. You are responsible for reviewing all generated content before publishing it.

Listonaut is an independent tool and is not affiliated with, endorsed by, or sponsored by Etsy, Inc. "Etsy" is a trademark of Etsy, Inc. If you connect your Etsy shop, you authorize Listonaut to create draft listings on your behalf via Etsy's API. You remain responsible for reviewing and publishing those drafts and for complying with Etsy's terms and policies. Your use of Etsy is governed by Etsy's own agreements.

The Service relies on third parties including Stripe (payments), Supabase (authentication & data), OpenAI (AI generation), Etsy (listing data & publishing), Cloudflare (hosting), and Resend (email). Your use of the Service may be subject to their terms.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated content will achieve any particular result.

10. Limitation of liability

To the maximum extent permitted by law, Listonaut and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the claim, or (b) fifty US dollars ($50).

11. Indemnification

You agree to indemnify and hold harmless Listonaut and its operators from any claims, losses, or expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

12. Suspension & termination

We may suspend or terminate your access if you violate these Terms or use the Service in a way that risks harm to us or others. You may stop using the Service at any time. Sections that by their nature should survive termination (including payment obligations, disclaimers, and limitation of liability) will survive.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in California, and you consent to their jurisdiction.
